Terms of Sale and Website Terms

These terms apply to two things: buying wholesale from Shaly Foods Inc., and using this website. By opening an account, placing an order, or using the site, you agree to them. If your business has a signed supply agreement with us, that agreement wins wherever it differs from this page.
1. Who we sell to
Shaly Foods Inc. sells wholesale only. Our customers are grocers, restaurants, food service operators, bakeries, distributors and re-packers buying to resell or to serve. We do not sell to individual consumers, and we do not sell single units at retail.
To buy from us you must be a business, be authorised to bind that business, and hold whatever licences or permits your province requires for reselling or serving food.
2. Opening an account
Opening an account takes about a week. You tell us what you sell, submit our standard wholesale credit application with trade references, then set a delivery schedule. Approved accounts get net payment terms. First orders can go COD while credit clears.
We can decline an application, or close an account, at our discretion. Credit limits and terms are set per account and can be changed with notice.
3. Prices and quotes
We do not publish prices on this website. Fresh produce pricing moves weekly with the season, the crop and the shipping calendar, so we send a current line sheet on request instead. See how wholesale pricing works.
A quoted price holds only for the period stated on the quote, and only for the pack size and quantity quoted. Prices are in Canadian dollars and exclude applicable taxes, deposits and freight unless the quote says otherwise. Nothing on this website is an offer to sell at a stated price.
4. Orders
An order is accepted when we confirm it, not when you submit it. We can decline or adjust an order if stock, quality or the arrival calendar changes, and we will tell you before we ship.
Minimum order is $300 to $500 depending on your delivery area. We sell by the carton and the pallet. Mixed pallets across our range count toward the minimum.
Fresh produce is a natural product. Grades, sizes, counts and colour vary within normal trade tolerances for each crop and each origin. We describe what we have as accurately as we can, and photographs on this site are illustrative of the line, not of the specific lot you will receive.
5. Payment
Invoices are due on the terms set for your account. Overdue balances may carry interest at the rate shown on the invoice, and we may hold deliveries or return an account to COD while a balance is outstanding. You are responsible for reasonable costs of collection.
Title to goods passes to you on full payment. Risk passes on delivery, as set out in our shipping and delivery policy.
6. Delivery, shortages and claims
Delivery areas, lead times, freight and risk of loss are set out in the shipping and delivery policy. Shortages, damage and quality claims are handled under the returns, refunds and claims policy. Both pages form part of these terms.
7. Food safety and your obligations
We handle and ship under refrigeration and to the food safety requirements that apply to us as an importer and distributor in Canada, including the Safe Food for Canadians Regulations administered by the Canadian Food Inspection Agency.
Once product is delivered and accepted, temperature control, rotation, handling, storage and labelling in your own operation are your responsibility. You are responsible for meeting the food safety and labelling rules that apply to your business.
8. Limits on our liability
Our liability for any claim relating to an order is limited to the invoiced value of the goods that claim relates to. We are not liable for lost profit, lost sales, loss of goodwill, or any indirect or consequential loss.
Nothing in these terms limits liability that cannot be limited under British Columbia or Canadian law, including liability for fraud, or for death or personal injury caused by negligence.
We are not responsible for delay or failure to perform caused by events outside our reasonable control, including crop failure, weather, port and border delays, customs action, carrier failure, strikes, and government orders.
9. Using this website
The text, photographs, logos and layout on this site belong to Shaly Foods Inc. or are used with permission. You may view and print pages for your own business use. You may not copy, republish or resell the content, scrape the site at a scale that burdens it, or use our name or marks without written permission.
You agree not to interfere with the site, attempt to gain unauthorised access, or submit false information through our forms.
10. Information on this site
We keep product, origin, delivery and availability information as current as we can, but it changes with the season and the shipping calendar. Availability, varieties and coverage on this site describe what we typically carry and where we typically ship, not a guarantee for any given week. Confirm with us before relying on it.
Links to outside websites, including government and industry sources, are provided for reference. We do not control those sites and are not responsible for their content.
11. Privacy
How we handle information from this site is set out in our privacy policy and cookie policy.
12. Changes to these terms
We can update these terms. The version posted here when you place an order is the version that applies to that order. The date at the top of this page shows when it last changed.
13. Governing law
These terms are governed by the laws of the Province of British Columbia and the laws of Canada that apply there. The courts of British Columbia have jurisdiction over any dispute.
